Terms of Service

These Terms of Service ("Terms") constitute a legally binding agreement between you ("Customer", "you", or "your") and FrontStaff Technologies Limited, a company incorporated in Nigeria ("FrontStaff", "we", "us", or "our"), governing your access to and use of the FrontStaff platform and services.

By creating an account or using any FrontStaff service, you agree to be bound by these Terms. If you do not agree, do not use the platform.

1. Description of Service

FrontStaff provides a multi-tenant SaaS platform enabling businesses to create, deploy, and manage AI-powered customer assistants ("AI Employees") trained on business-specific data. Services include chat, voice, WhatsApp, and phone channels; analytics; lead capture; and a human handoff inbox.

2. Account Registration

  • You must provide accurate, complete, and current information during registration.
  • You are responsible for maintaining the confidentiality of your login credentials.
  • You must be at least 18 years old and legally authorized to enter contracts under Nigerian law.
  • Corporate customers represent that the signatory is authorized to bind the company.
  • You are liable for all activities that occur under your account.

3. Subscription Plans and Payment

3.1 Plans and Billing

  • FrontStaff offers Starter, Growth, Business, Premium, and Enterprise subscription plans priced in Nigerian Naira (NGN).
  • Subscriptions are billed monthly, quarterly, or annually as selected. Annual and quarterly plans are paid upfront.
  • A one-time AI Staff Training fee applies on your first subscription to cover initial knowledge setup.
  • All prices are exclusive of Value Added Tax (VAT) at 7.5%, which will be added to all invoices.

3.2 Payment Processing

  • Payments are processed through Paystack or Flutterwave. By subscribing, you authorize us to charge your selected payment method.
  • Subscriptions auto-renew unless cancelled at least 24 hours before the renewal date.
  • Failed payments will trigger a 7-day grace period. Continued failure results in service suspension.

3.3 Refunds

  • Annual and quarterly plans are eligible for a pro-rated refund within 14 days of purchase.
  • Monthly plans are non-refundable after the billing date.
  • Refund requests must be submitted to [email protected].

4. Credits and Usage

  • Each subscription plan includes a monthly credit allowance. Credits are consumed at 1 credit per AI response.
  • Plan credits expire at the end of each billing period. Purchased top-up credits do not expire for 12 months.
  • When credits are exhausted, AI responses cease. Customers will see a "team unavailable" message and human handoff remains available.
  • FrontStaff reserves the right to impose fair-use limits on bandwidth, storage, and API calls.

5. Customer Data and Privacy

  • You retain all ownership of data you upload to the platform ("Customer Data").
  • You grant FrontStaff a limited license to process Customer Data solely to provide the service.
  • You are the data controller for your customers' personal data. FrontStaff acts as data processor.
  • A Data Processing Agreement (DPA) is incorporated by reference and available at frontstaff.ai/dpa.
  • You warrant that you have lawful basis to provide Customer Data to FrontStaff and that doing so does not violate any third-party rights.

6. Acceptable Use Policy

You must not use FrontStaff to:

  • Violate any applicable Nigerian or international law or regulation.
  • Distribute spam, malware, phishing content, or other harmful material.
  • Impersonate individuals, businesses, or FrontStaff itself.
  • Conduct fraudulent financial activities, scams, or pyramid schemes.
  • Process sensitive personal categories of data (health, financial, biometric) without explicit consent.
  • Attempt to reverse-engineer, scrape, or extract the underlying AI models.
  • Sublicense, resell, or provide the service to third parties except through the FrontStaff Partner Programme.
  • Generate content that is defamatory, obscene, or violates third-party intellectual property rights.

FrontStaff reserves the right to suspend or terminate accounts that violate this policy without prior notice.

7. Intellectual Property

  • FrontStaff and its licensors own all intellectual property rights in the platform, software, and documentation.
  • You own all intellectual property in your Customer Data and custom AI assistant configurations.
  • The FrontStaff name, logo, and branding are registered trademarks. You may not use them without written permission, except as required by attribution in embed code.
  • Feedback or suggestions you provide may be used by FrontStaff without restriction or compensation.

8. Service Levels and Availability

  • FrontStaff targets 99.9% monthly uptime, excluding scheduled maintenance.
  • Scheduled maintenance will be announced at least 24 hours in advance via status.frontstaff.ai.
  • FrontStaff does not guarantee the accuracy, completeness, or fitness for purpose of AI-generated responses.
  • You are responsible for reviewing and validating AI outputs before relying on them for critical business decisions.

9. Third-Party Services

The platform integrates with third-party services (payment processors, AI model providers, telephony, etc.). Your use of those services is subject to their respective terms. FrontStaff is not responsible for the availability, accuracy, or policies of third-party services.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY NIGERIAN LAW:

  • FrontStaff's total liability for any claims arising under these Terms is limited to the amount you paid to FrontStaff in the 3 months immediately preceding the claim.
  • FrontStaff is not liable for indirect, incidental, consequential, or punitive damages, including lost profits, loss of data, or business interruption.
  • These limitations apply regardless of the theory of liability (contract, tort, or otherwise) and even if FrontStaff has been advised of the possibility of such damages.

11. Indemnification

You agree to indemnify and hold harmless FrontStaff and its officers, directors, and employees from any claims, damages, or expenses (including legal fees) arising from: (a) your use of the platform; (b) your Customer Data; (c) your breach of these Terms; or (d) your violation of any law or third-party rights.

12. Term and Termination

  • These Terms commence on the date you create an account and continue until terminated.
  • Either party may terminate at any time with 30 days' written notice.
  • FrontStaff may terminate immediately for material breach, non-payment after the grace period, or violation of the Acceptable Use Policy.
  • Upon termination, your access to the platform ceases. You may export your Customer Data within 30 days. After 30 days, we will delete your data (except where retention is legally required).

13. Governing Law and Dispute Resolution

  • These Terms are governed by the laws of the Federal Republic of Nigeria.
  • Disputes shall first be referred to mediation administered by the Lagos Multi-Door Courthouse (LMDC).
  • If mediation fails, disputes shall be resolved by arbitration under the Arbitration and Conciliation Act (ACA) 2023, with Lagos as the seat.
  • Nothing prevents either party from seeking urgent injunctive relief from a competent Nigerian court.

14. Changes to These Terms

We may modify these Terms at any time. Material changes will be communicated via email at least 30 days before the effective date. Continued use after the effective date constitutes acceptance of the updated Terms.

15. Entire Agreement

These Terms, together with the Privacy Policy, Data Processing Agreement, and any Order Form or SOW, constitute the entire agreement between the parties and supersede all prior agreements relating to the subject matter herein.
